Split Fee Agreement

This agreement will specify the terms and conditions between ___________________ (client) and TravelKare for the purpose of sharing resources, with the end result of filling a professional position through the efforts of either party.

The guidelines that are equally applicable to all firms that are parties to this agreement are:

1. Collected fees from cooperative placements will be split between the firms on a 50/50 basis.

2. All out-of-pocket expenses including, but not limited to, housing, airfare, auto rental, mileage, etc., will be deducted from collected fees prior to 50/50 split. These will be fully disclosed.

3. The firm with the job listing is responsible for billing/collection of fees.

4. Payment of split fees shall be made within five (5) working days of receipts of check from the client company. A copy of the check will be included.

5. All candidate information and/or job orders received by either firm shall not be passed along to any other third party by the receiving firm without prior approval.

6. Candidate and client referrals remain valid for a period of one year from the date of referral. The information provided by the referring firm must include date of referral and minimum acceptable fee.

7. The guarantee policy of the placing firm shall be honored for all cooperative placements made under this agreement (Anything beyond 90 days requires written permission) and any refunds of split fees resulting from such guarantees shall be made within five (5) working days of receipt of notification of the employment separation.

8. For the duration of any specific negotiations between any candidate and client company, the firm with the job order will normally handle all negotiations between the parties.

9. The referring firm must be notified when an interview is set with a client company.

LEGAL:

• This agreement shall be governed according to the laws of the State of Oklahoma, and client and TravelKare are subject to the jurisdiction of the District Court of Tulsa County, State of Oklahoma.

• Each party shall indemnify and other for all loss arising from a party’s failure to comply with all laws, rules or regulations applicable to the performance of services by the Therapist for the Client;

• If any provision in this agreement is found invalid, this does not effect any other portion of the agreement.

• This agreement is the sole agreement, and supersedes all other negotiations and agreements.

• Waiver of any provision contained herein does not affect the validity of any other provision of this agreement.

This Agreement is binding for one (1) year from date of signing, and will renew at the end of that twelve-month time period unless canceled by one of the parties to the other in writing. In the event of contract cancellation, any transactions pending must be resolved under the terms listed above.
