AGREEMENT FOR
DIRECT PLACEMENT
This agreement will specify
the terms and conditions between ___________________ (client) and TheraKare
for the purpose of providing candidates, with the end result of filling a
professional position of client through the efforts of TheraKare, a private
employment agency. For this service, client will pay TheraKare a mutually
agreed upon fee.
RESPONSIBILITIES OF
TravelKare:

"Due diligence" in
efforts to advertise, find, screen, interview, and present qualified
candidates, relative to agreed upon criteria, to the client for
consideration. This includes reference checks, and all relevant
educational background and experience; all of which will be presented to
client.

Maintain communication
with client on all relevant activities in the search and presentation of
candidates.

After acceptance, do all
necessary paperwork for candidate to work legally in client's location.
If foreign trained, this includes all immigration, credentialing, and
licensing.

Replace the candidate if
said candidate leaves for any reason or is terminated for cause within
the first 90 days of employment; provided client notifies TheraKare, in
writing, of the facts of the termination within 5 business days after
the termination, and the fee is paid in full within 15 days of beginning
work. (Insufficient work will not be considered cause.) This does not
apply to failure of licensure exams, which will be negotiated on as
needed basis. No refund in available after 90 days

Invoice client for agreed
upon fees immediately after placement.
RESPONSIBILITIES OF CLIENT:

Provide TheraKare all
necessary criteria of position.

Provide TheraKare with
relevant Public Relations material on the facility, city, schools, and
surrounding area. (State material will be mutually obtained)

"Due diligence" in
efforts to interview and attract acceptable candidates presented by
TheraKare, in a timely manner.

Maintain timely
communication with TheraKare on all relevant activities, especially
feedback from interviews, presented materials, etc.

If candidate accepts
position; provide written offer and agreement between client and
candidate to TheraKare for licensing, and immigration if necessary.

Pay invoice for one-half
fee upon approval of candidate and one-half 15 days after beginning
employment. (NOTE: The guarantee period above is valid only if payment
is received in full, within 15 days from start date.)
MUTUAL COVENANTS:

Candidates are referred
in confidence. Subsequent referral to any third party where candidate is
hired will cause client and third party to be responsible for payment of
fee to TheraKare.

All fees are on a
contingency basis, and payable only when client hires a candidate
referred by TheraKare. Fees are payable should client (or an affiliate)
hire a referred candidate within one year from the most recent
communication concerning the candidate.

This agreement is for six
months. Should client wish to terminate before a successful candidate is
found and while this agreement is still in force; client will be subject
to documented expenses incurred by TheraKare in client's behalf up to
the date of termination.
FEES:
The specific service fee
for each candidate will be attached as Addendum B.
LEGAL:

This
agreement shall be governed according to the laws of the State of
Oklahoma, and client and TheraKare are subject to the jurisdiction of
the District Court of Tulsa County, State of Oklahoma.

Each party
shall indemnify and other for all loss arising from a party’s failure to
comply with all laws, rules or regulations applicable to the performance
of services by the Therapist for the Client;

If any
provision in this agreement is found invalid, this does not effect any
other portion of the agreement.

This
agreement is the sole agreement, and supersedes all other negotiations
and agreements.

Waiver of
any provision contained herein does not affect the validity of any other
provision of this agreement.

Both parties agree that this

Any untimely termination will be subject to conditions noted under "Mutual
Covenants" and either party must provide 30 days written notice.

TravelKare, Inc. will provide direct
